Gateway Arch 60th Anniversary Logo Submission Agreement
By submitting your logo (“Logo”) to the Gateway Arch 60th Anniversary Logo Submission initiative, you agree to the following terms and conditions:
Age Certification: I certify that I am at least 18 years old and legally authorized to act on behalf of the business or organization submitting this Logo.
Voluntary Submission & Compensation: I acknowledge that the submission of the Logo is voluntary, and that I will not receive financial compensation of any type associated with this submission or its use.
Ownership and Rights: I certify that I am the owner of the Logo or that I have obtained all necessary rights, permissions, and licenses from the owner and any relevant third parties (e.g., logo designer, trademark owner) to grant the rights and licenses set forth in this Agreement.
No Infringement: I certify that the submission and use of the Logo does not violate, misappropriate or infringe on the rights of any third party, including without limitation, privacy rights, publicity rights, copyrights, trademark and/or other intellectual property rights.
Content Restrictions: Logos that are partisan-political, contain advertising for unrelated products/services, personal attacks or expletives, or are otherwise abusive, threatening, unlawful, harassing, discriminatory, libelous, obscene, false, sexually explicit or that infringe on the rights of any third person will not be accepted.
Lawful Purpose: I may not submit Logos for any illegal or unauthorized purpose, and I agree to comply with all laws, rules and regulations applicable to the Logo and its submission.
Right to Remove/Monitor: The Bi-State Development Agency, the Gateway Arch Park Foundation, and the National Park Service reserve the right to review, remove, block and/or monitor submitted Logos, but shall have no obligation to do so.
Grant of Rights and License: In consideration for allowing me to submit the Logo, I hereby grant the Bi-State Development Agency and the National Park Service a perpetual, worldwide, non-exclusive, royalty-free, right and license to use, publish, reproduce, display, perform, adapt, modify, distribute, have distributed and promote the Logo in any form, in all media forms, now known or hereinafter created, anywhere in the world, for any purpose related to the Gateway Arch 60th Anniversary Exhibit and its promotion. This includes, but is not limited to, use in the special exhibit at a National Park Service facility, on associated websites, social media, promotional materials, and for educational or archival purposes. Specifically, I acknowledge and agree that submitted Logos may be used as part of the National Park Service’s special exhibit celebrating the Gateway Arch’s 60th Anniversary, and may be stored in the National Park Service archives as part of the retention and historical record of the exhibit. I waive any right to inspect or approve any specific use of the Logo.
Submission at Own Risk: I submit Logos at my own risk. Neither the Bi-State Development Agency nor the National Park Service maintains any responsibility for the Logos submitted.
No Endorsement: The Bi-State Development Agency and the National Park Service do not endorse any specific business, organization, product, or service associated with the submitted Logos. Inclusion in the exhibit is for celebratory and historical purposes only.
Indemnification: I hereby hold harmless, release and agree to indemnify the Bi-State Development Agency and the National Park Service from any and all claims, actions, liabilities, and expenses that may arise out of or in connection with submitting the Logo, including but not limited to claims of intellectual property infringement or violation of any third-party rights.
Governing Law: This Agreement shall be governed and interpreted by the laws of the State of Missouri (as applicable) and the federal laws of the United States of America.
Understanding: I have read and fully understand the contents of this Agreement.
